Terms of Service

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To access certain features of the Service, you must create an account using Apple Sign In or Google Sign In. You agree to provide accurate and complete information during the registration process and to keep your account credentials secure. You are solely responsible for all activity that occurs under your account.

You agree to notify us immediately at privacy@joingist.com if you become aware of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised or that you have violated these Terms.

Gist is an AI-powered market intelligence platform that processes and analyzes publicly available financial data sources to extract structured trading signals, market sentiment insights, and institutional-grade trade setup parameters. The Service includes:

• AI-extracted trading signals with direction, confidence scores, and source attribution
• Institutional-grade trade setups including entry zones, stop-loss levels, and take-profit targets
• AI-powered interactive chat for financial research queries (Gist AI)
• Analyst performance leaderboard and tracking system
• Market sentiment indicators including Fear & Greed Index and market regime detection
• Social and interaction features including comments, follows, and content sharing

4.1 Not Financial Advice

The Service is provided for informational and educational purposes only. Nothing contained in the Service constitutes, or is intended to constitute, financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice. Gist is not a registered investment advisor, broker-dealer, financial analyst, or financial planner in any jurisdiction.

All signals, trade setups, sentiment indicators, AI chat responses, analyst rankings, and any other information provided through the Service are derived from automated analysis of publicly available financial data sources. They represent extracted commentary and opinions from third-party sources and do not represent the views, recommendations, or opinions of Gist.

4.2 No Guarantee of Accuracy or Performance

Gist does not guarantee the accuracy, completeness, timeliness, reliability, or suitability of any information provided through the Service. Financial markets are inherently unpredictable and volatile. Past performance of any analyst, signal, or trade setup does not guarantee or indicate future results.

The confidence scores, direction indicators (BUY, SELL, HOLD, WATCH), entry zones, stop-loss levels, take-profit targets, and position sizing suggestions displayed within the Service are algorithmically extracted from third-party commentary and should not be interpreted as personalized investment recommendations.

4.3 Assumption of Risk

You acknowledge and agree that:

• All investment and trading decisions are made solely by you, at your own risk and discretion.
• You may lose some or all of your invested capital. Trading in financial instruments, including but not limited to stocks, cryptocurrencies, forex, and commodities, involves substantial risk of loss.
• You should only invest funds that you can afford to lose entirely.
• You should consult with a qualified, licensed financial advisor before making any investment decisions.
• Gist shall not be held liable for any losses, damages, or costs arising from your reliance on information provided through the Service.

4.4 Third-Party Content

The signals, trade setups, and other financial information displayed in the Service are extracted from third-party financial data sources and represent the opinions and commentary of independent analysts, commentators, and content creators. Gist does not endorse, verify, or guarantee the accuracy of any third-party content. The inclusion of any analyst or content creator on the platform does not imply affiliation with, endorsement by, or sponsorship from Gist.

The Service uses artificial intelligence and machine learning technologies, including large language models (LLMs) and natural language processing (NLP), to extract, analyze, and present financial information. You acknowledge and agree that:

• AI-generated outputs, including Gist AI chat responses, may contain errors, inaccuracies, or hallucinations.
• AI-extracted signals and trade setups are algorithmic interpretations and may not accurately reflect the intent or meaning of the original source material.
• The Gist AI chat feature is in beta. Responses may not always be accurate, complete, or current.
• You should independently verify any information obtained through AI features before making any decisions based on such information.

6.1 Free and Paid Tiers

The Service offers a free tier with limited access to signals, limited AI chat queries, and blurred trade setup details. Gist Pro is a premium subscription that unlocks full access to all features, including unlimited AI chat, exact trade setup numbers (entry, stop-loss, take-profit), deep search, real-time push notifications, and advanced sentiment analytics.

6.2 Subscription Plans

Gist Pro is available in the following subscription plans: weekly, monthly, and annual. Current pricing is displayed within the App at the time of purchase. Prices may vary by region and are subject to change. Any price changes will take effect at the start of the next subscription period following the change.

6.3 Billing and Auto-Renewal

Subscriptions are billed through Apple's App Store (via In-App Purchase) and are managed by Apple. Payment will be charged to your Apple ID account at confirmation of purchase. Your subscription will automatically renew at the end of each subscription period unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.

6.4 Free Trials

Gist may offer free trial periods for Gist Pro. If a free trial is offered, you will not be charged during the trial period. If you do not cancel before the end of the free trial, your subscription will automatically convert to a paid subscription and you will be charged at the applicable subscription rate. Any unused portion of a free trial period will be forfeited when you purchase a subscription.

6.5 Cancellation and Refunds

You may cancel your subscription at any time through your Apple ID account settings or the App Store. Cancellation will take effect at the end of the current billing period, and you will retain access to Gist Pro features until that date. Gist does not process refunds directly; all refund requests must be submitted through Apple in accordance with Apple's refund policy.

6.6 Restoring Purchases

If you have previously purchased a Gist Pro subscription and need to restore your purchase on a new device or after reinstalling the App, you may do so by using the "Restore Purchases" option available on the subscription screen within the App. This feature allows you to recover your active subscription without being charged again. You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Distribute, reproduce, or commercially exploit any content from the Service without prior written consent from Gist.
• Engage in market manipulation, insider trading, or any other illegal financial activity using information obtained through the Service.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service.
• Use automated scripts, bots, scrapers, or other automated means to access or interact with the Service.
• Post, transmit, or share content that is defamatory, obscene, abusive, threatening, or otherwise objectionable through the Service's social features.
• Interfere with or disrupt the integrity or performance of the Service or its related systems.

All content, features, functionality, design, software, algorithms, trade setup extraction methodologies, signal analysis frameworks, AI models, and all other intellectual property associated with the Service are and shall remain the exclusive property of Gist Technologies and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms.

The Gist name, logo, and all related marks are trademarks of Gist Technologies. You may not use any of these marks without our prior written consent.

When you post comments, reviews, or other content through the Service's social features, you retain ownership of your content. However, by posting content, you grant Gist a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, and distribute your content in connection with the operation and promotion of the Service.

You are solely responsible for any content you post and represent that you have all necessary rights to post such content. Gist reserves the right to remove any content that violates these Terms or that we deem inappropriate at our sole discretion.

You may request the deletion of your account at any time through the Settings section within the App. Upon account deletion, we will delete or anonymize your personal data in accordance with our Privacy Policy, except where retention is required by applicable law or for legitimate business purposes as described in our Privacy Policy. Please note that account deletion is irreversible and will result in the loss of your data, preferences, watchlists, and any active subscription benefits.

You agree to indemnify, defend, and hold harmless Gist, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content you post through the Service; or (e) any investment or trading decision you make based on information obtained through the Service.

The Service may contain links to or integrations with third-party services, websites, or applications, including but not limited to Apple Sign In, Google Sign In, and payment processing services. Gist is not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

Gist reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.

Gist may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections 4 (Financial Disclaimer), 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Disclaimer of Warranties), 13 (Indemnification), and 18 (Governing Law) shall survive any termination of these Terms.

The Service may send you push notifications related to new signals, market alerts, subscription status, and other relevant information. You can manage your notification preferences through your device settings or within the App at any time.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the exclusive jurisdiction of the courts of Istanbul, Turkey.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with the Privacy Policy and the EULA, constitute the entire agreement between you and Gist regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
